PERQS Member LLC, along with our subsidiaries, affiliates, and other third parties acting on our behalf (“PERQS Member”) welcomes you to the PERQS Member website, PERQS.com and other related websites (“Site”). We maintain this Site as a service to our visitors and customers.

By using our Site, you are agreeing to comply with and be bound by the following Terms of Use. Please review the following terms carefully. If you do not agree to these terms, you should not continue using the Site, review any information on the Site, or obtain goods or products from this Site.

  1. Acceptance of Terms of Use
    You agree to the terms and conditions outlined in these Terms of Use with respect to the Site. These Terms of Use constitute the entire and only agreement between us and you with respect to the Site, and it supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of these Terms of Use.
    We may amend these Terms of Use at any time without specific notice to you. The latest Terms of Use will be posted on the Site, as indicated by the Last Updated / Effective Date above, and you should review these Terms of Use prior to using the Site.

    We reserve the right, and you authorize us, to the use and assignment of all information obtained by us during the course of operating the Site in any manner consistent with our Privacy Policy. By using the Site, you consent to the privacy practices set forth in the Privacy Policy, which is incorporated by reference into these Terms of Use.
  3. Site Content; Intellectual Property; Limited License to Users
    This Site content may provide general information about our products and services.  Your eligibility for particular products and services is subject to our final determination, restrictions, and acceptance.  We may discontinue or make changes to the information, products, licenses, or services described on the Site at any time. Any dated information is published as of its publication date only.  We do not undertake any obligation or responsibility to update or amend any such information.  We reserve the right to terminate any or all offerings without prior notice. Furthermore, by offering information, products, or services via the Site, no solicitation is made by us to any person to use such information, products, or services in jurisdictions where the provision of information, products, or services is prohibited by law.
    The materials and services on this Site, as well as their selection and arrangement (collectively, “Materials and Services”), are protected by copyright, trademark, patent, and/or other intellectual property laws, and any unauthorized use of the Materials or Services at this Site may violate such laws and these Terms of Use. Except as expressly provided herein or as otherwise agreed in writing by us, PERQS Member does not grant any express or implied rights to use the Materials and Services. You agree not to copy, republish, frame, download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Site, its Materials and Services, or their selection and arrangement, except as expressly authorized herein. In addition, you agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with the Site.
    1. Copyright
      The content, organization, graphics, design, audio, animation, video, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks, and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use, or publication by you of any such matters or any part of the Site, except as allowed by these Terms of Use, is strictly prohibited. You do not acquire ownership rights to any content, document, or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials.
    2. Trademarks
      The trademarks, logos, and service marks (“Marks”) displayed on this Site are the property of PERQS Member or other third parties. You are not permitted to use the Marks without the prior written consent of PERQS Member or such third party that may own the Marks. All other trademarks and registered trademarks are the property of their respective owners.
    3. Site Use
      The Site and accompanying content that may be made available via Site is the copyrighted and/or patented work of PERQS Member.
      To access the Site, you will need a working connection to the Internet via a web browser on your computer for which you are responsible for all costs, expenses, and fees.
      From time to time, due to the performance of maintenance, malfunctions or failures of software, equipment, or telecommunications devices, unusual transaction volume, or similar reasons the Site may not be available for your use. We minimize the periods of time during which the Site is unavailable. You agree that we shall not be responsible for any loss, damages, costs, or expenses which you may suffer or incur, directly or indirectly, as a result of the unavailability of the Site, regardless of whether it could be shown that we could have prevented or reduced the duration of such unavailability by taking any action within our reasonable control. We shall also not be responsible for any loss, damages, costs, or expenses which you may suffer or incur, directly or indirectly, as a result of your inability to access the website caused directly or indirectly, in whole or in part, by your computer or mobile device, your inability to establish a connection to the Internet, your Internet Service Provider (“ISP”), or capacity or other limitations or constraints of the Internet. 
      Use of any software available for download from the Site is governed by the terms of the license agreement that accompanies or is included with such software. Such terms are available for review and are incorporated herein by this reference. You will not be able to download or install any software that is accompanied by or includes a license agreement unless you agree to the terms of such license agreement. If you do not agree to such terms, you will not be able to use the software. Absent a license agreement that accompanies the software, use of the software will be governed by these Terms of Use. You agree that you will not decompile, reverse engineer, or otherwise attempt to discover the source code of the software available on the Site.
    4. Limited Right to Use
      The viewing, printing, or downloading of any content, graphic, form, or document from the Site grants you only a limited, nonexclusive license for use solely by you for your own use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. No part of any content, form, or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your use (but not for resale or redistribution). PERQS Member reserves the right to revoke the authorization to view, download, and print the PERQS Member content and any posted user content available on this Site at any time, and any such use shall be discontinued immediately upon notice from PERQS Member. The rights granted to you constitute a license and not a transfer of title.
    5. Editing, Deleting and Modification
      We reserve the right in our sole discretion to edit or delete any documents, information, or other content appearing on the Site.
  4. Site Security
    While we use reasonable efforts to safeguard the security of the Site, there can be no guaranty that such safeguards will successfully prevent unauthorized activity relating to the content or functionality of the Site. We assume no liability or responsibility for any unauthorized activity relating to the content or functionality of the Site.
    Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to us via the Site may be read or intercepted by others, notwithstanding our efforts to protect such transmissions. We make no warranty whatsoever to you, express or implied, regarding the security of the Site, including with respect to the ability of unauthorized persons to intercept or access information transmitted by you through the Site.
    You acknowledge and agree that you are solely responsible for maintaining the security of your devices. We are not responsible for any losses resulting from the loss or theft of your device, the loss or theft of your information transmitted from or stored on your devices, or any losses arising from the use of your device by someone whom you have given access.
  1. Indemnification
    You agree to indemnify, defend, and hold PERQS Member and our partners, attorneys, staff, and affiliates (collectively, “Affiliated Parties”) harmless from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of these Terms of Use or use of the Site.
  1. Nontransferable
    Your right to use the Site is not transferable. Any password or right given to you to obtain information or documents is not transferable.
  1. Disclaimer and Limits
    TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, THE INFORMATION FROM OR THROUGH THE SITE ARE PROVIDED “AS-IS,” “AS AVAILABLE,” AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO OUR SITE.
  1. Third-Party Merchant Policies
    All rules, policies (including privacy policies) and operating procedures of Merchants will apply to you while on such sites. We are not responsible for information provided by you to Merchants. We and the Merchants are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.
  1. Payments
    You represent and warrant that if you are purchasing something from us or from Merchants that (i) any payment information you supply is true and complete, (ii) charges incurred by you will be honored by your financial institution, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes.
  1. Links to other Web Sites
    The Site may contain links to other Web sites. We are not responsible for the content, accuracy, or opinions expressed on such Web sites, and such Web sites are not investigated, monitored, or checked for accuracy or completeness by us. Inclusion of any linked Web site on our Site does not imply our approval or endorsement of the linked Web site by us. If you decide to leave our Site and access these third-party sites, you do so at your own risk.

    The Site contains information and press releases about us. While this information was believed to be accurate as of the date prepared, we disclaim any duty or obligation to update this information or any press releases. Information about companies other than ours contained in the press release or otherwise, should not be relied upon as being provided or endorsed by us.
  1. International Use
    The Site is not intended for use by persons in any jurisdiction or country where such use would be contrary to applicable laws or regulations. We may restrict your access to the Site during times when you are in a country other than the United States. You are responsible for compliance with all local laws.
    None of the products or underlying information or technology available at this Site may be downloaded or otherwise exported: (i) to (or to a national or resident of any country to which the United States has embargoed goods; or (ii) to anyone on the United States Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders.   1. Termination of these Terms of Use
    We may, without notice to you, immediately terminate these Terms of Use if you breach these Terms of Use or engage in conduct that we, in our sole discretion, believe is in violation of applicable law, our rights, or the rights of other users of the Site. Upon termination of these Terms of Use, your right to use the Site will immediately terminate.
  1. Governing Law
    Your consent to these Terms of Use and use of this Site shall be treated as though it were executed and performed in Franklin County, Ohio, and shall be governed by and construed in accordance with the laws of the State of Ohio (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. You agree all legal proceedings arising out of or in connection with these Terms of Use or Site shall be brought solely in Franklin County, Ohio. You expressly submit to the exclusive jurisdiction of said courts and consents to extra-territorial service of process.
  1. Severability
    Should any part of these Terms of Use be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with these Terms of Use, these Terms of Use shall take precedence. Our failure to enforce any provision of these Terms of Use shall not be deemed a waiver of such provision nor of the right to enforce such provision.
